Terms of Use and EULA

By downloading, installing, or using SmartCemic QESA Pro ("the App"), you agree to be bound by these Terms of Use and End User License Agreement ("EULA"). If you do not agree to these terms, do not use the App.

NorCemic Inc. ("we", "our", "us") reserves the right to update these terms at any time. Continued use of the App after changes constitutes acceptance of the revised terms. We will notify users of material changes via in-app notification or email.

To use SmartCemic QESA Pro, you must meet the following requirements:

• Be at least 18 years of age, or 13+ with verified parental consent
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using the Services under applicable laws
• Provide accurate and complete registration information
• Reside in a jurisdiction where our Services are available

You must create an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate, current information and to keep it up to date.

You may delete your account at any time from the Settings page in the App. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

• Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
• Payment: Charged through your Apple App Store or Google Play account at confirmation of purchase
• Cancellation: Cancel anytime through your device's App Store or Google Play settings. Takes effect at the end of the current billing period
• Money-Back Guarantee: Full refund within 30 days for new subscriptions
• Annual Discount: Annual plans save approximately 17% compared to monthly billing

The App provides estimated health readings including glucose levels, heart rate, blood oxygen saturation (SpO2), and other biomarkers. These readings are for informational and general wellness purposes only.

• Not a substitute for professional medical advice, diagnosis, or treatment
• Do not use readings to make medical decisions, including insulin dosing
• The companion hardware is under development and has not received regulatory clearance
• Always consult a qualified healthcare professional for medical concerns
• Readings may vary based on environmental conditions and device calibration
• In case of medical emergency, contact emergency services immediately

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal and health data.

• All health data is encrypted at rest and in transit using industry-standard protocols
• We do not sell your personal or health data to third parties
• We do not share data with data brokers or advertising networks
• You can export or delete your data at any time from within the App
• Cookies are used only for session management and security, not for tracking

Proper use of SmartCemic QESA Pro requires:

• Following all setup and calibration instructions carefully
• Keeping the device clean and properly maintained
• Using only with the official SmartCemic mobile application
• Installing firmware updates when available
• Not attempting to modify, reverse engineer, or tamper with the device

When using the App, you agree not to:

• Use the App to harm, threaten, or harass any person
• Attempt to gain unauthorized access to the App's systems or infrastructure
• Interfere with or disrupt the proper functioning of the App
• Upload malicious code, viruses, or other harmful data
• Use the App in violation of any applicable law or regulation
• Present the App's readings as certified medical diagnoses

The App and all of its content, features, functionality, design, source code, algorithms, and trademarks are the exclusive property of NorCemic Inc. and are protected by United States and international intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on the App without prior written consent from NorCemic Inc. "SmartCemic", "QESA Pro", and the NorCemic logo are registered trademarks of NorCemic Inc.

Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NORCEMIC INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

These terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.
